Agreement to Terms

These Terms of Service ("Terms") are a legally binding agreement between you ("User", "you", "your") and Unicorns & Robots Inc. ("UMPH", "we", "us", "our") governing your access to and use of the UMPH Platform, including our app, website, and the Services.

These Terms apply to every appointment booking, subscription, and order placed through the Platform. They also govern your use of services linked to third-party clinics integrated with UMPH.

Please read them carefully before using the Services. If you disagree with any part of these Terms, do not use the Services.

Definitions

Capitalised terms used in these Terms have the meanings set forth below:

• "UMPH Platform" means the UMPH website and mobile applications.
• "Appointment" means booking a service with a clinic or practitioner through the UMPH Platform.
• "Clinic" means a licensed third-party provider of healthcare, wellness, or cosmetic services listed on UMPH.
• "User" or "you" means the person accessing or using the UMPH Services.
• "Confirmation" means the email or in-app confirmation you receive after an Appointment or purchase.
• "Subscription" means a recurring paid plan (e.g., UMPH Black).
• "Partner Contract" means the agreement between you and the Clinic for the services you booked.
• "Services" means all functionality UMPH provides, such as booking, skin analysis, reports, subscription features, and more.

Acceptance of Terms

By using or accessing the UMPH Platform or making an Appointment, Order, or Subscription, you agree to these Terms and any changes posted by UMPH. UMPH may revise these Terms at any time; continued use after changes constitutes acceptance.

Our Services

UMPH provides a technology platform that connects Users with Clinics for consultations and treatments. UMPH also offers:

• AI-powered skin and wellness insights
• Reporting tools and dashboards
• Appointment scheduling and reminders
• Subscription plans with premium features

IMPORTANT: UMPH does not perform medical services, and Clinics operate independently. Your contract for clinical services is directly with the Clinic under the Clinic's terms and conditions.

Eligibility and Use of Platform

To make an Appointment, Subscription, or purchase through UMPH:

• You must be at least 18 years of age
• You may use the Platform as a guest or registered user
• You must accept any additional terms shown before confirming your booking
• You confirm your booking only after you receive a Confirmation

Your Responsibilities

a. Accurate Information

You agree to provide accurate, complete, and up-to-date information when creating an account or booking services.

b. Health & Medical Details

Before requesting an Appointment, you must disclose relevant health, allergy, or medical conditions affecting treatment. Failure to do so may affect outcomes and liability.

Payments & Billing

UMPH partners with third-party payment processors to handle payments securely.

• Prices, taxes, and any applicable fees are displayed at checkout
• Payment verification, currency conversion, and related matters are subject to provider terms
• If a Subscription auto-renews, you authorise future billing until cancellation

Appointment Changes, Cancellations & No-Shows

Each Clinic may have its own policies regarding:

• Rescheduling
• Cancellation notice period
• No-show charges

These policies will be disclosed before booking. If you cancel or fail to show up within the specified time window, you may be charged up to the full appointment value as determined by the Clinic's terms.

Subscription Terms

If you subscribe to a plan:

• Billing cycles, benefits, and termination terms will be shown before purchase
• Subscriptions may auto-renew unless cancelled prior to the next billing cycle
• Refunds (if any) follow the UMPH Return & Refund Policy

Termination

UMPH may suspend or terminate your access:

• For violation of these Terms
• For misuse or harmful behaviour
• At any time, without notice

Upon termination, your rights under these Terms end immediately.

Limitation of Liability

To the fullest extent permitted by law:

• UMPH is not liable for indirect, incidental, or consequential damages
• UMPH is not responsible for Clinic treatment outcomes
• Your sole remedy for Platform issues is the correction of the error or service restoration
• UMPH's total liability is limited to the amount you paid for Services in the prior six months or the minimum amount permitted by law

Indemnity

You agree to indemnify, defend, and hold UMPH harmless from:

• Claims arising from your misuse of the Platform
• Your breach of these Terms
• Your violation of laws or the rights of others

Notices & Communication

UMPH may communicate with you via email or in-app messages. You consent to receiving service messages regarding appointments, payments, and account activity.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the United States of America. Disputes are subject to the exclusive jurisdiction of courts in your location.

Privacy

Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these terms by reference. By using our services, you consent to our privacy practices.

Entire Agreement

These Terms, together with the Privacy Policy, Terms of Use, Return & Refund Policy, and any applicable Clinic terms, constitute the entire agreement between you and UMPH.
